The new company buy the old one off the administrators (as this is the best way for the Administrators to get the most money, they have little in the way of assets to generate cash if sold) and the contracts transfer over to the new company under TUPE laws.

Meanwhile, the company's creditors are left high and dry; you're right that it's quite easy, but it shouldn't be.

These creditors should mount a legal challenge as they are basically being defrauded by the RFL.
